Terms of Service

These Terms of Service ("Terms") form a binding agreement between you (or the business you represent, "you") and North Fjord LLC, a Delaware limited liability company with offices at 7120 W. 127th St., Palos Heights, IL 60463, United States, doing business as "CampaignsLive.com" ("CampaignsLive," "we," "us," or "our"). These Terms govern your access to and use of the CampaignsLive.com platform, websites, and related services (collectively, the "Service").
Please read these Terms carefully. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, clicking a button labelled "I Accept" (or similar), or using the Service, you agree to be bound by these Terms and by our Privacy Policy.
If you accept these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity. For business users, the Business Customer Addendum (Schedule A) applies automatically.
2. The Service
CampaignsLive.com is an AI-powered marketing platform that gives you access to a suite of mini-apps for tasks such as proposal and pitch-deck generation, image and video generation, asset management, research, and content creation. Access is metered through a credit system. Some tasks are processed asynchronously through queues and depend on third-party AI providers; outputs are probabilistic and may be delayed, partial, incorrect, or fail.
Current plans, credit allocations, and pricing are described on our pricing page. We may add, modify, or remove features, mini-apps, or AI providers at any time.
3. Eligibility
The Service is intended for business and professional use. You must be at least 18 years old to register and use the Service. By creating an account, you represent that you are 18 or older and that your use of the Service does not violate any law applicable to you.
We do not knowingly permit minors to access the Service or knowingly collect data from minors. If we learn that an account belongs to a person under 18, we will close it.
4. Accounts & Security
- Provide accurate, current, and complete information when registering.
- Keep your password and access credentials confidential. You are responsible for all activity under your account.
- One person per account. Do not share login credentials. Team access is provided through our domain-based sharing features, not by sharing logins.
- Notify us immediately at support@campaignslive.com if you suspect unauthorized access.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Generate, store, or distribute deepfakes, non-consensual likenesses, or content that impersonates real people, brands, or entities without clear authorization.
- Produce political advertising, election-related content, or propaganda, or content for regulated industries (including gambling, weapons, pharmaceuticals, tobacco, or alcohol marketing) unless we have given you written authorization in advance.
- Generate or distribute NSFW, sexually explicit, or graphic violent content.
- Engage in scams, deceptive marketing, multi-level-marketing (MLM) schemes, or crypto/financial schemes, including misleading claims, fake testimonials, or "get-rich-quick" promotions.
- Use bots, headless browsers, or automation to scrape, mass-generate, or resell outputs as a competing service, or otherwise reuse the Service outside its intended user interface.
- Use the Service to target minors in any jurisdiction where doing so is restricted or prohibited by applicable law (including, without limitation, COPPA in the United States and the GDPR in the EEA/UK).
- Upload malicious code or content, attempt to access systems or data you are not authorized to access, or interfere with the operation of the Service.
- Infringe intellectual property rights, harass, defame, or harm others.
We may suspend or terminate your account, with or without notice, for any actual or suspected violation of this section. We may also refuse, remove, or block specific tasks, outputs, or content at our discretion.
6. Credits, Billing & Refunds
6.1 Credits
Access to most features is metered in credits. Credits are deducted automatically when you submit a task; deduction occurs at submission, not on output review. Credits are personal, non-transferable, and have no cash value. Credits associated with a subscription expire when the subscription period ends; one-time credit packs do not expire while your account remains active.
6.2 Subscriptions
Subscriptions auto-renew at the end of each billing period at the then-current price for the applicable plan, until cancelled. You may cancel at any time through your account settings or by emailing support@campaignslive.com; cancellation takes effect at the end of the current period. Current plans and prices are shown on our pricing page and at checkout.
6.3 EU Consumer Right of Withdrawal
Consumers resident in the European Union have a 14-day right of withdrawal under the EU Consumer Rights Directive. Because the Service is digital content delivered immediately, we ask EU consumers to expressly consent to immediate performance and to acknowledge that the right of withdrawal is lost once performance has begun (typically when the first credit is consumed). Where this consent is not given, the standard 14-day withdrawal right applies. Business customers do not have a withdrawal right.
6.4 Taxes
Prices are exclusive of VAT, sales tax, GST, and other applicable taxes unless stated otherwise. Where required, taxes are calculated and collected at checkout via Stripe Tax.
6.5 Late or Failed Payment
If a payment fails or is past due, we may suspend access to the Service, withhold further credits, and suspend the licence to Outputs as described in Section 8.3. Outstanding balances remain due. Once the account is brought current, access and the licence are restored.
6.6 Refunds
Except as required by mandatory law or expressly stated below, all sales are final and credits and subscription fees are non-refundable.
- Hard provider failures: if a third-party AI provider returns a hard failure (such as a 5xx error or a timeout) that prevents your task from executing, we will automatically refund the consumed credits to your balance.
- Unsatisfactory outputs: credits are not refunded for outputs you find unsatisfactory, low quality, off-target, or otherwise not useful. AI is probabilistic; you accept this risk.
- Goodwill refunds: we may, at our sole discretion, grant additional refunds or credit balances as a courtesy.
- Mandatory law: nothing in this section limits refund or withdrawal rights you have under mandatory consumer-protection law in your jurisdiction.
7. Your Content
"Your Content" means any data, prompts, briefs, files, images, or other materials you submit to or create with the Service.
You retain ownership of Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely as needed to operate, secure, support, and improve the Service for you, including transmitting Your Content to third-party AI providers and storage providers.
We do not use Your Content to train our own AI models, and we do not sell Your Content. Where third-party AI providers offer a "do not train" or "zero retention" election, we make commercially reasonable efforts to use it. Third-party providers' own terms also apply; see Section 10 and our Subprocessors page.
You represent and warrant that you have all rights necessary to upload Your Content and that Your Content does not infringe any third-party right.
8. AI Outputs and Intellectual Property
8.1 Licence During an Active, Paid-Current Account
While your account is active and all fees due are paid, we grant you a worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, distribute, and publicly display the AI-generated outputs you create through the Service ("Outputs") for your own commercial and non-commercial purposes, subject to these Terms.
8.2 Ownership Vesting on Payment
Subject to applicable law and to third-party rights in underlying AI models, ownership of an Output (to the extent ownership is legally available) vests in you only upon full payment of all fees due for the billing period in which the Output was generated. Until that payment is received, the Output remains the property of CampaignsLive and is provided to you only under the licence in Section 8.1.
8.3 Suspension of Licence on Past-Due Accounts
If your account becomes past due, the licence in Section 8.1 is automatically suspended for any Outputs generated in any unpaid period. You must stop using and distributing those Outputs until the account is brought current. Once the past-due balance is fully paid, the licence is reinstated and ownership vests retroactively under Section 8.2.
8.4 Disclaimers about Outputs
Outputs are generated by probabilistic AI models. They may be inaccurate, incomplete, out-of-date, biased, or offensive, may resemble third-party works, and are not warranted by us as original, non-infringing, or fit for any particular purpose. Different users may receive similar or identical Outputs from similar prompts. You are solely responsible for reviewing, fact-checking, and clearing rights in Outputs before any commercial use.
9. Service Availability
We provide the Service on a best-effort basis. We do not commit to any service-level agreement, uptime guarantee, response time, or queue throughput. Tasks may be delayed, deferred, retried, or rejected. Third-party AI providers may be slow, unavailable, or change behaviour without notice. Planned maintenance and unplanned downtime may occur at any time, with or without advance notice.
10. Third-Party Services
The Service relies on third-party AI providers, hosting providers, and integrations. Your use of those underlying services is also subject to their terms. The current list of subprocessors is published at /pages/subprocessors.html. We are not responsible for outages, errors, content policies, or changes by third parties.
11. Suspension & Termination
You may terminate your account at any time by emailing support@campaignslive.com. We may suspend or terminate your access at any time, with or without cause and with or without notice, including for non-payment, suspected violations of these Terms, or operational reasons.
On termination:
- Your right to access the Service ends immediately.
- You may request a copy of Your Content within 30 days of termination by emailing support@campaignslive.com.
- We may delete Your Content after that 30-day window. Billing records and information we are required by law to retain may be kept longer.
- Sections of these Terms that by their nature should survive termination (including Sections 6, 8, 12, 13, 14, 16, and 17) will continue to apply.
12. Disclaimer of Warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, timely, secure, or error-free;
- Queues will process within any specific time;
- AI Outputs will be accurate, complete, original, non-infringing, or fit for any purpose;
- Defects will be corrected.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW (INCLUDING LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).
14. Indemnification
You agree to defend, indemnify, and hold harmless CampaignsLive, North Fjord LLC, and our officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content; (b) your use of the Service or any Output; (c) your breach of these Terms; or (d) your violation of any law or third-party right.
15. Modifications to the Service or Terms
We may modify these Terms at any time. For material changes, we will give at least 30 days' notice by email or in-product notice before the changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not accept the changes, you may terminate your account before they take effect.
16. Dispute Resolution
16.1 Informal Resolution
Before bringing a formal claim, you and CampaignsLive agree to try to resolve any dispute informally for at least 30 days by emailing support@campaignslive.com with a description of the dispute and the relief sought.
16.2 Mediation
If the dispute is not resolved informally, the parties agree to attempt mediation administered by JAMS under its mediation rules, in person or by video conference, before proceeding to arbitration.
16.3 Binding Arbitration; Class Waiver
If mediation does not resolve the dispute, the dispute will be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction. You and CampaignsLive each waive the right to a jury trial and the right to participate as a plaintiff or class member in any class, collective, or representative action; disputes will be resolved on an individual basis only.
16.4 EU Consumer Carve-out
Nothing in this Section 16 limits the rights of a consumer resident in the European Union, the United Kingdom, or Switzerland to bring proceedings in the courts of their country of residence under mandatory local law, or to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
16.5 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. General
- Entire Agreement: these Terms (including Schedule A and the Privacy Policy) are the entire agreement between you and CampaignsLive about the Service and supersede prior agreements about the same subject matter.
- Severability: if any provision is unenforceable, the remainder remains in effect.
- No Waiver: our failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices: notices to us must be sent to support@campaignslive.com and to North Fjord LLC, 7120 W. 127th St., Palos Heights, IL 60463, United States. Notices to you may be sent to the email associated with your account or posted in-product.

Schedule A — Business Customer Addendum & Data Processing Agreement
Effective when these Terms are accepted on behalf of a business ("Customer"). No separate signature required.
This Schedule A ("Addendum") forms part of the Terms and applies whenever Customer is a legal entity (a business, agency, organization, or other non-consumer). Capitalized terms not defined here have the meanings in the Terms or, where applicable, the EU General Data Protection Regulation 2016/679 ("GDPR") and the UK GDPR / UK Data Protection Act 2018.
A1. Definitions
"Controller", "Processor", "Personal Data", "Processing", "Data Subject", and "Supervisory Authority" have the meanings given in the GDPR. "Customer Personal Data" means Personal Data that Customer submits to or causes to be processed by the Service. "Subprocessor" means any third party engaged by us to Process Customer Personal Data.
A2. Roles & Scope
With respect to Customer Personal Data, Customer is the Controller and CampaignsLive is the Processor. The subject matter, duration, nature, purpose, categories of Data Subjects, and categories of Personal Data are set out in Annex I.
A3. Customer Instructions
We will Process Customer Personal Data only on Customer's documented instructions, which consist of (a) the Terms and this Addendum, (b) Customer's configuration of the Service, and (c) Customer's use of the Service. We will inform Customer if, in our opinion, an instruction infringes applicable data protection law.
A4. Confidentiality
We ensure that personnel authorized to Process Customer Personal Data are bound by appropriate obligations of confidentiality.
A5. Security
We implement appropriate technical and organizational measures to protect Customer Personal Data, as described in Annex II. We may update these measures from time to time, provided the level of protection is not materially decreased.
A6. Subprocessors
Customer authorizes the use of the Subprocessors listed at /pages/subprocessors.html (Annex III). We will give Customer at least 30 days' notice (by updating that page or by email) before adding or replacing a Subprocessor processing Customer Personal Data. Customer may object on reasonable data-protection grounds within 30 days of notice; if the objection cannot be resolved, Customer may terminate the affected portion of the Service. We require each Subprocessor to be bound by data-protection obligations no less protective than this Addendum.
A7. Data Subject Requests
Taking into account the nature of the Processing, we will provide reasonable assistance to Customer in responding to Data Subject requests under applicable data-protection law, within 30 days of a verified request from Customer.
A8. Personal Data Breach
We will notify Customer without undue delay after becoming aware of a Personal Data Breach affecting Customer Personal Data, with the information required by Article 33(3) GDPR to the extent reasonably available.
A9. Audits
On reasonable written request and no more than once per year, we will provide Customer with summaries of our most recent third-party security assessments or independent reports sufficient to demonstrate compliance with this Addendum. On-site audits may be conducted only by mutual agreement, at Customer's cost, under reasonable confidentiality obligations, and in a manner that does not disrupt the Service or other customers.
A10. International Data Transfers
Where the Processing of Customer Personal Data involves a transfer from the EEA, the UK, or Switzerland to a country not subject to an adequacy decision, the parties enter into the EU Standard Contractual Clauses (Module Two — Controller to Processor), as approved by Commission Implementing Decision (EU) 2021/914, which are incorporated by reference. The UK International Data Transfer Addendum (IDTA) issued by the UK Information Commissioner is also incorporated by reference for UK transfers. Customer's signature of the Terms constitutes signature of the SCCs and IDTA.
A11. Return or Deletion on Termination
On termination of the Service, we will, on Customer's written request received within 30 days, return or delete Customer Personal Data, except to the extent we are required to retain it by applicable law. After that 30-day window, Customer Personal Data may be deleted from active systems and purged from backups on a rolling 90-day cycle.
A12. Liability
Each party's liability under this Addendum is subject to the limitations and exclusions in Section 13 of the Terms.
Annex I — Processing Details
- Subject matter: provision of the CampaignsLive.com marketing platform.
- Duration: for the term of Customer's account, plus the post-termination window in Section A11.
- Nature and purpose: hosting, transmitting to AI providers, processing, and storing Customer-submitted content; generating AI Outputs; supporting and securing the Service.
- Categories of Data Subjects: Customer's authorized users; individuals referenced in Customer-submitted prompts, files, or briefs.
- Categories of Personal Data: account identifiers (name, email), authentication data (hashed passwords, OAuth metadata, session identifiers), profile data, IP addresses and device information, billing identifiers, and any Personal Data Customer chooses to submit in prompts, files, or generated assets.
- Special categories: Customer should not submit special-category data (Article 9 GDPR) without prior written agreement.
Annex II — Security Measures
- Encryption of data in transit using TLS.
- Encryption of object storage at rest in Google Cloud Storage.
- Hashed passwords using industry-standard algorithms.
- Least-privilege database access and segregation between application and migration credentials.
- Session management with revocation; logging of authentication events.
- Access controls, secret management via Google Secret Manager, and infrastructure isolation.
- Regular dependency updates and security review of code changes.
Annex III — Approved Subprocessors
The current list of approved Subprocessors is maintained at /pages/subprocessors.html and is incorporated into this Addendum by reference.
